1. Agreement to Terms

By accessing or using Scrimly (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. This is a legally binding agreement between you and Scrimly ("we," "us," or "our"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Scrimly is a platform designed to help soccer coaches, clubs, and teams organize, schedule, and participate in practice matches ("scrimmages"). The Service includes features for team management, scheduling, and match coordination.

3. User Accounts & Eligibility

To use Scrimly, you must register for an account. You must be at least 18 years of age to create an account. Users between the ages of 13 and 18 may only use the Service under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms. You are responsible for safeguarding your password and for all activities under your account.

4. User Content

You retain all rights to the information, text, and graphics you post ("User Content"). However, you grant Scrimly a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely to provide and promote the Service. We reserve the right to remove User Content that violates these Terms or is otherwise objectionable.

5. SMS and Mobile Messaging

By providing your phone number, you opt-in to receive automated text messages from Scrimly regarding match alerts, team invitations, and account security.

• You may opt-out at any time by replying STOP.
• Consent to receive text messages is not a condition of purchase.

6. Prohibited Conduct

You agree not to:

• Post content that is unlawful, abusive, or defamatory.
• Engage in unsportsmanlike conduct or misrepresent team/club affiliations.
• Attempt to scrape data or interfere with the proper working of the Service.
• Use the Service for any unauthorized commercial purposes.

7. Intellectual Property

The Service, including its original content, features, and functionality, remains the exclusive property of Scrimly and its licensors. Our trademarks and trade dress may not be used without prior written consent.

8. Assumption of Risk & Liability Waiver

Scrimly is a coordination tool only. We do not organize, supervise, or provide the physical venues for the soccer matches coordinated through our platform.

By using the Service, you acknowledge that participation in soccer scrimmages involves inherent risks of physical injury. You agree that Scrimly is not responsible for any injuries, damages, or disputes that arise during or as a result of a physical match coordinated via the Service.

9. Disclaimer of Warranties & Limitation of Liability

The Service is provided "AS IS." To the maximum extent permitted by California law, Scrimly shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Service. Our total liability for any claim shall not exceed $100.00 or the amount you paid us in the last six months, whichever is greater.

10. Indemnification

You agree to defend and indemnify Scrimly from any claims, damages, or expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your User Content.

11. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California. Any dispute arising from these Terms shall be resolved through final and binding arbitration in [Your City/County], California. You agree to waive your right to a trial by jury and to participate in any class action lawsuit.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes. Continued use of the Service after revisions constitutes acceptance of the new terms.
