1. Agreement to Terms
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service. This is a legally binding agreement between you and Scrimly ("we," "us," or "our").
2. Description of Service
Scrimly is a platform designed to help soccer coaches, clubs, and teams organize, schedule, and participate in practice matches ("scrimmages"). The Service includes features for team management, scheduling, communication, and match coordination.
3. User Accounts & Eligibility
To use Scrimly, you must register for an account. You agree to provide accurate, complete, and current information during the registration process. You are responsible for safeguarding your password and for any activities or actions under your account. You must be at least 18 years of age to create an account. If you are between the ages of 13 and 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
4. User Content
You are responsible for any information, text, graphics, or other material that you post, upload, or otherwise make available through the Service ("User Content"). You retain all rights to your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with providing and promoting the Service. We reserve the right, but are not obligated, to remove or modify User Content for any reason, including User Content that we believe violates these Terms.
5. User Conduct
You agree not to use the Service to:
- Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Engage in or promote unsportsmanlike conduct that violates the rules of fair play for the leagues or associations you participate in.
- Impersonate any person or entity or misrepresent your affiliation with a person, team, or club.
- Violate any applicable local, state, national, or international law.
We reserve the right to suspend or terminate accounts that violate these rules of conduct.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Scrimly and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Scrimly.
7. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by discontinuing your use of the Service.
8. Disclaimer of Warranties & Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the service will be uninterrupted, secure, or error-free. In no event shall Scrimly, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential or punitive damages resulting from your use of the Service.
9. Indemnification
You agree to defend, indemnify, and hold harmless Scrimly and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content posted on the Service.
10. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through final and binding arbitration in Delaware, except that you may assert claims in small claims court if your claims qualify. You agree to waive your right to a trial by jury and to participate in any class action lawsuit.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
